KOPERNIK USER AGREEMENT

Kopernik Solutions, Inc. (d/b/a “Kopernik”) Yayasan Kopernik, Kopernik Japan and PT Kopernik, “Kopernik,” “we,” “our,” or “us”) require that all visitors (“you”) to our website at kopernik.info (the “Site”) agree to all of the terms and conditions of this User Agreement (this “UA”). By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by this UA.

This UA applies to all users of the Site, including visitors, donors, project partners, applicants, solution providers, and any other users who access the Site or submit information through it.

If you do not agree to this UA, please do not use the Site.

WHO IS KOPERNIK?
Kopernik is an Indonesia-based research & development (R&D) lab committed to “finding what works” by identifying unmet needs, testing potential solutions, and amplifying impact to address pressing social and environmental challenges.

We work with partners across civil society, government, academia, and the private sector. Depending on the initiative, our experiments may test products, services, delivery models, behavior-change approaches, policy engagement, or other practical solutions designed to improve outcomes for underserved communities.

Kopernik’s work is supported by multiple legal entities. The relevant entity may differ depending on where a project is implemented and how funds are received or administered. For details, please refer to the “Legal Entities” and “Reports & Financials” pages on the Site.

1. ELIGIBILITY
Use of the Site is void where prohibited. By using the Site, you represent and warrant that:
(a) you are at least eighteen (18) years old (or otherwise have the legal capacity to form a binding contract in your jurisdiction);
(b) all information you submit is truthful and accurate; and
(c) your use of the Site does not violate any applicable law or regulation.

We may terminate or restrict your use of the Site without notice if we believe you are in violation of these conditions.

2. BINDING AGREEMENT
By using the Site, you agree to be bound by this UA, whether you are a visitor or you use any Site feature such as donating, subscribing to communications, or submitting information via a form.

There may be additional terms for specific features (for example, donation processing terms from payment processors). Where such additional terms apply, we will present them to you in the relevant flow and they will apply alongside this UA.

We are committed to protecting the privacy of personal information collected through the Site. Please review our Privacy Policy for more information about how we collect, use, and protect personal information.

3. KOPERNIK’S ROLE
The Site provides information about Kopernik and its initiatives, publications, partners, events, opportunities to support our work (including donations), and ways to contact or engage with us.

From time to time, the Site may enable third parties (such as project partners, solution providers, or other collaborators) to submit information to Kopernik (for example, expressions of interest, proposals, applications, or other materials). Unless expressly stated otherwise in writing, Kopernik is not acting as an agent for any donor, partner, solution provider, or other third party.

You use the Site, and rely on any content or materials provided via the Site, at your own risk, subject to the disclaimers and limitations in this UA.

4. OUR PROPRIETARY MATERIALS
We welcome you to our Site and invite you to use it within the limitations of this UA. You may use the Site, Content, and any software made available through the Site (“Software”) solely for the purposes described on the Site and as permitted by this UA.

You may make one copy of relevant Content for your personal, non-commercial use only, provided you do not delete or change any copyright, trademark, or other proprietary notices.

Except as expressly allowed by this UA, you may not copy, reproduce, publish, distribute, transmit, display, sell, license, modify, create derivative works from, or otherwise exploit the Site, Content, or Software without our prior written permission.

5. KOPERNIK’S RESERVATION OF RIGHTS
Kopernik retains the right to determine the content, appearance, design, functionality, and all other aspects of the Site and the services offered via the Site. We may redesign, modify, remove, alter, delay, suspend, or discontinue any part of the Site or any feature at any time.

We also reserve the right to restrict use of the Site, refuse or remove submissions, and take any other action we deem appropriate to protect the integrity, security, and proper functioning of the Site and our work.

6. CONTENT DISPLAY
We aim to display Content (including project information, images, budgets, and other materials) as accurately as reasonably possible. However, we cannot guarantee that all Content will be complete, current, or displayed identically on all devices, browsers, or screens.

7. ERRORS AND CHANGES
Project descriptions, budgets, funding status, timelines, and availability of donation or participation options may change without notice. Errors will be corrected where discovered, and Kopernik reserves the right to correct any errors, inaccuracies, or omissions, including after a donation has been made or a submission has been received.

8. DISCLAIMERS
We make reasonable efforts to provide a Site that is safe and accurate, but can make no warranties.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
(a) YOUR USE OF THE SITE, CONTENT, AND SOFTWARE IS AT YOUR SOLE RISK.
(b) ALL CONTENT AND SOFTWARE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
(c) KOPERNIK EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
(d) KOPERNIK DOES NOT WARRANT THAT: (i) THE SITE WILL MEET YOUR REQUIREMENTS; (ii) THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITE WILL BE ACCURATE OR RELIABLE; OR (iv) ANY ERRORS IN THE SOFTWARE WILL BE CORRECTED.
(e) ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITE IS DONE AT YOUR OWN DISCRETION AND RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

9. LIMITATION OF LIABILITY
IN NO EVENT SHALL KOPERNIK, ITS EMPLOYEES, AGENTS, AFFILIATES, DIRECTORS, OFFICERS, REPRESENTATIVES, SUB-CONTRACTORS, ADVISORS, OR VOLUNTEERS (COLLECTIVELY “KOPERNIK AND ITS AFFILIATES”) BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING WITHOUT LIMITATION DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SITE, CONTENT, OR SOFTWARE, EVEN IF KOPERNIK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, KOPERNIK’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THIS UA OR YOUR USE OF THE SITE SHALL NOT EXCEED (A) USD $100 OR (B) THE AMOUNT OF FEES (IF ANY) YOU PAID TO KOPERNIK VIA THE SITE IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. GENERAL RELEASE
To the fullest extent permitted by applicable law, you release Kopernik and its Affiliates from any and all claims, demands, and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with:
(a) your interactions with any third party referenced on, linked from, or connected to the Site (including third-party partners, vendors, payment processors, or linked websites);
(b) any dispute between you and any other user or third party; and/or
(c) your reliance on information obtained through the Site.

This release does not apply to claims arising from Kopernik’s willful misconduct or fraud, where such limitation is prohibited by law.

11. THIRD-PARTY WEBSITES
The Site may provide links to other websites (“Linked Sites”) as a convenience. Linked Sites are not maintained by Kopernik, and we are not responsible for their content, services, policies, or practices. The inclusion of a link does not imply endorsement.

12. THIRD-PARTY WEBSITES SEEKING TO HYPERLINK TO THE SITE
We welcome appropriate hyperlinks to our Site. By publishing a hyperlink to our Site, you warrant that the content of your website is appropriate and consistent with the stated purposes of the Site and Kopernik. We reserve the right to rescind the right to link to the Site at our sole discretion.

Use of any Kopernik service mark or other intellectual property without our prior written consent is prohibited.

13. MAKING DONATIONS OR SUBMITTING MATERIALS THROUGH KOPERNIK
13a. Donations and Support Options
Where the Site offers the ability to donate to a specific project or to Kopernik’s operations, you acknowledge that:
(i) donations may be processed through third-party payment processors and/or received via bank transfer or other offline methods as described on the Site;
(ii) project budgets displayed on the Site may include an administration fee and/or processing costs, as disclosed on the relevant project page or donation flow; and
(iii) donations will be applied as described on the relevant project page or donation option, subject to Section 14 (Special Provisions Relating to Donors).

13b. Currency and Exchange Rates
Amounts shown on the Site in currencies other than the transaction currency are for display purposes only. Exchange rates are estimates and may differ from the rates applied by your bank, card issuer, or payment processor.

13c. Refunds
Unless expressly stated otherwise on the Site or required by applicable law, donations are generally non-refundable. Please review your donation carefully before completing it.

14. SPECIAL PROVISIONS RELATING TO DONORS
Thank you for supporting Kopernik. If you make a donation through the Site or otherwise to support Kopernik’s work, you agree that the terms in this Section 14 apply to you as a donor (“Donor”), in addition to the other terms of this UA.

14a. Donor Representations
By making a donation, you represent and warrant that:
(i) you are authorized to use the payment method you provide;
(ii) the donation is made voluntarily and is not in exchange for any goods or services (unless expressly stated on the Site);
(iii) the donation is legal in any jurisdiction applicable to you; and
(iv) all information you provide in connection with the donation is accurate.

14b. Payment Processing; Authorization
(i) Donations may be processed by third-party payment processors. Your use of those services may be subject to their terms and privacy policies.
(ii) By completing a donation, you authorize Kopernik (and our payment processors, where applicable) to charge your chosen payment method for the amount you specify, including any disclosed processing fees.
(iii) If you sign up for a recurring donation (for example, monthly support), you authorize automatic charges at the frequency and amount you select until you cancel. You can cancel recurring donations in the manner described on the Site or by contacting us. Cancellation will apply to future charges; past donations generally remain non-refundable.

14c. Allocation of Donations; Project Changes; Overfunding
(i) Project donations. If you donate to a specific project, we will apply your donation to that project in line with the project budget and description on the Site.
(ii) Monthly or flexible donations. If you choose a monthly or flexible support option where funds are allocated by Kopernik, we will apply those funds to the project that is closest to being fully funded at the time of allocation, or to another high-priority project or operational need consistent with the description of that donation option on the Site.
(iii) Project changes or inability to proceed. If a project you donated to does not proceed to implementation, is materially changed, is removed from the Site, or cannot accept your donation (in whole or in part) due to overfunding or other practical constraints, we may contact you (where we have contact details) and, where feasible, offer you a choice to redirect your donation. If we do not receive a response within a reasonable period (typically 30 days), or if contacting you is not feasible, you authorize us to apply the donation to a similar project or to the project closest to being fully funded at that time, consistent with the intent of the donation and operational practicality.
(iv) Implementation via sub-grants or partners. Some projects may be implemented by Kopernik directly, by Kopernik on behalf of a partner, or via sub-grants to trusted partner organizations as described on the relevant project page. You acknowledge that project delivery arrangements may differ between projects.

14d. Fees and Costs
(i) Some projects include an administration fee and/or payment processing fee(s) as disclosed on the relevant project page. These fees support practical costs of implementation, monitoring, international transfers, processing online donations, and/or contributions to Kopernik’s operational costs.
(ii) Fee structures may vary across projects and may change over time. We aim to disclose fee components transparently on the relevant pages. The net amount received by the implementing entity or partner may be reduced by processing fees charged by third parties.

14e. Donor Receipts; Tax Matters
(i) We may issue donation receipts to the extent required by law or standard practice for the entity receiving your donation.
(ii) Tax deductibility depends on the recipient entity and your jurisdiction and circumstances. Donors should seek independent professional advice regarding the tax treatment of any donation.
(iii) If you are a U.S. taxpayer donating to Kopernik Solutions, donations may be tax-deductible where permitted by law. No statement on the Site should be interpreted as tax advice.

14f. Donor Communications and Updates
We may send you acknowledgements and project updates by email where you provide contact details. You may be able to opt out of non-essential communications, but certain communications (such as receipts or critical notices) may still be sent.

14g. Use of Project Materials; Privacy and Safeguarding
From time to time, we may share project updates, photos, videos, stories, or other materials (“Project Materials”). Unless explicitly stated otherwise in writing, Project Materials are provided for your personal, non-commercial use only.

You may not publish, distribute, or otherwise share Project Materials in any way that could compromise the privacy, dignity, or safety of individuals or communities featured in those materials, or that would violate any safeguarding requirements communicated by Kopernik. We reserve the right to seek injunctive relief and other remedies for unauthorized use where legally available.

14h. No Guarantee of Outcomes
Donations support work intended to achieve real-world outcomes, but development and environmental work inherently involves uncertainty. We cannot guarantee any specific outcomes, timelines, or impacts for any project.

15. DISPUTES
Kopernik is not responsible for, and will not act as an agent in connection with, disputes between users and any third parties (including donors, partners, vendors, or payment processors). We may, at our discretion, provide reasonable information to help clarify Site processes, but we are not obligated to mediate or resolve disputes.

If you have a dispute with another party, you agree that you will pursue it directly with that party and not involve Kopernik except where legally required.

16. TERMINATION
You may terminate this UA by stopping all use of the Site and destroying any materials obtained from the Site that are not otherwise retained for lawful purposes. Kopernik may terminate or suspend your access to the Site at any time for any reason, in our sole judgment, without warning or prior notice.

In the event of termination, the disclaimers, limitations of liability, releases, and indemnities set forth in this UA will survive.

17. NO AGENCY; THIRD-PARTY BENEFICIARY
Kopernik is not your agent, fiduciary, trustee, or other representative. Nothing expressed or implied in this UA is intended to give any person other than the parties any legal or equitable right, remedy, or claim under or in respect of this UA.

18. RESOLUTION OF DISPUTES
This UA is governed by the laws of the State of New York, USA and controlling United States federal law without regard to its choice of law or conflicts of law provisions or the Convention on Contracts for the International Sale of Goods.

Any controversy or claim arising out of or relating to your use of the Site shall be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association to be heard and adjudicated by one arbitrator chosen from a panel of arbitrators knowledgeable in internet law and commercial contract disputes. The arbitration shall be conducted in New York, New York, USA, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Notwithstanding the foregoing, Kopernik may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights, confidential information, or to prevent unauthorized use of Project Materials.

19. INDEMNIFICATION
You will defend, indemnify, and hold harmless Kopernik and its Affiliates from and against any and all claims, costs, losses, damages, judgments, penalties, interest, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) your use of the Site;
(b) your breach of this UA;
(c) your submissions or communications (including any allegation that they infringe a third party’s rights);
(d) your violation of any law or regulation; or
(e) any dispute between you and any third party arising from your actions.

21. ENTIRE AGREEMENT
This UA, together with any policies and notices we post on the Site (including the Privacy Policy) and any additional terms presented to you for specific features, constitutes the entire agreement between Kopernik and you regarding your use of the Site and supersedes any prior agreements on those matters.

We may update this UA from time to time by posting revised versions on the Site. The effective date at the top of this UA will change and your continued use of the Site after such posting constitutes your acceptance of the updated UA.

22. REPORTS & FINANCIALS; PUBLIC INFORMATION
Kopernik publishes organizational information, reports, and (where available) financial and governance documentation on the Site.
